Mittal Steel public offer for Arcelor: The Luxembourg government appoints JP Morgan as financial advisor
Le gouvernement luxembourgeois vient de s’adjoindre les services de la banque d’affaires JP Morgan pour le conseiller dans l’affaire de l’OPA de Mittal Steel sur Arcelor. Le gouvernement entend ainsi recourir à une opinion indépendante et professionnelle sur les intérêts de l’État en tant que principal actionnaire d’Arcelor et en tant que partie prenante dans cette éventuelle transaction.
Cette décision est aussi à voir dans le contexte du récent dépôt du projet de loi transposant la directive dite OPA en droit national. Le ministre de l’Économie et du Commerce extérieur Jeannot Krecké rappelle que "cette transposition aurait eu lieu également et dans les mêmes termes en l’absence de l’OPA de Mittal Steel sur Arcelor. L’affirmation selon laquelle ce projet de loi serait une mesure protectionniste dirigée contre cette OPA est tout simplement erronée et tout lecteur attentif du texte peut s’en rendre compte. Ce projet s’inscrit dans la politique du gouvernement de créer un cadre clair et cohérent pour les transactions en question et de confirmer la position du Grand-Duché comme pays ouvert et comme place financière internationale."
Le Luxembourg étant la juridiction d’accueil pour la transaction, le ministre exprime sa confiance dans le déroulement ordonné de la procédure dans l’intérêt de tous les actionnaires et de toutes les parties prenantes d’Arcelor et de Mittal.

The Luxembourg government has appointed JP Morgan as the investment bank to advise it on the public offer of Mittal Steel for Arcelor. The government henceforth requests an independent and professional opinion on the Luxembourg state’s interests as the main shareholder of Arcelor and stakeholder in the proposed transaction.
This decision has also to be seen in the context of the recently announced Bill transposing the EU takeover directive into national law. The minister for Economy and Foreign trade, Jeannot Krecké, stated that "this transposition would also have taken place in the same terms in the absence of the public bid of Mittal Steel for Arcelor. The assertion that this Bill is a protectionist device with the aim to prevent the proposed transaction is clearly erroneous as the content of the Bill demonstrates. This Bill reflects the Luxembourg government’s intention to create a clear and coherent framework for such transactions and to confirm the Grand-Duchy’s position as an open economy and an international financial center."
As the host regulatary jurisdication for the bid Minister Krecke expresses his confidence in the orderly course of this public offer procedure in the interests of all shareholders and stakeholders from both Arcelor and Mittal.
