Faisant suite aux travaux du Conseil de gouvernement de vendredi dernier, le ministre de l' Économie et du Commerce extérieur Jeannot Krecké et le ministre du Trésor et du Budget Luc Frieden se sont réunis aujourd'hui dimanche 29 janvier 2006 pour continuer à examiner les conséquences éventuelles sur le Luxembourg de l'offre publique d'achat de Mittal Steel sur Arcelor.
La réunion, qui a eu lieu en étroite concertation avec le Premier ministre, a aussi servi à préparer la réunion du Conseil d'administration d'Arcelor auquel participe un représentant de l' État luxembourgeois en tant qu’administrateur.
Au stade actuel de l'examen du dossier, les ministres luxembourgeois expriment leurs vives préoccupations face à ce projet d'OPA non sollicitée et en apparence hostile. En l’absence de concertation préalable, le projet actuel manque d’engagements précis concernant notamment le rôle de l’État luxembourgeois, le maintien du siège effectif du groupe sidérurgique au Luxembourg, ainsi que le respect des engagements pris par Arcelor dans le domaine de l’emploi et des investissements au Luxembourg.
A ce jour, le modèle industriel et social Arcelor a donné pleine satisfaction au gouvernement luxembourgeois. Le gouvernement utilisera tous les moyens juridiques et politiques à sa disposition pour veiller, dans le respect du droit européen, aux intérêts industriels, sociaux et financiers du Grand-Duché en tant que pays hôte et actionnaire stratégique d'Arcelor, qui est le premier employeur privé au Luxembourg.

Meeting between Ministers Krecké and Frieden to debate the possible consequences for Luxembourg regarding the Mittal Steel public offer for Arcelor
Following a meeting of the Luxembourg Council of Ministers on Friday, the Minister for Treasury and Budget Luc Frieden and the Minister for Economy and Foreign trade Jeannot Krecké met today (Sunday 29th of January 2006) to discuss the possible consequences for Luxembourg regarding the Mittal Steel public offer for Arcelor.
At this meeting, which was held after consultation with the Prime Minister Jean-Claude Juncker, the two Ministers briefed the Government’s non-executive representative on the Arcelor board of directors, in advance of the company’s board meeting this afternoon.
The ministers expressed their concern over the apparent hostile nature of the Mittal bid and the absence of prior consultation with the Luxembourg government and the management of Arcelor. They also pointed to the lack of precise details in the bid on the future role of the Luxembourg state in the company and the maintenance of the strong guarantees given by Arcelor in terms of employment and investment in Luxembourg.
Today, Arcelor’s industrial and social model is strongly supported by the Government. The Ministers stated that the Government is understandably determined to ensure that the industrial, social and financial interests of the Grand-Duchy, as the host country and as a strategic shareholder in Arcelor, are maintained.
